Plain English summary

Use SmileFlow honestly, pay on time, and we will deliver excellent results for your clinic. If something goes wrong on our end, we will make it right. These terms exist to protect both parties.

1. Acceptance of terms

By using SmileFlow.site or engaging SmileFlow's services, you agree to these Terms and Conditions. If you are engaging SmileFlow on behalf of a dental practice, you represent that you have the authority to bind that practice to these terms.

2. The service

SmileFlow provides dental patient acquisition services including but not limited to: lead magnet creation, Google My Business optimisation, WhatsApp follow-up system setup, Instagram content planning, and review acquisition systems.

SmileFlow operates on a setup fee plus monthly retainer model. The setup fee is due before work commences. The monthly retainer is due on the first of each month. Services are provided exclusively to one dental clinic per city — this exclusivity is contractually guaranteed.

3. The 14-day results guarantee

If your SmileFlow system is fully set up, all components are live, and you have not received a single qualified patient enquiry within 14 days of going live — we will extend your first month at no charge. To qualify for this guarantee, your clinic must have an active WhatsApp Business number, a claimed Google My Business profile, and an Instagram account that is not set to private.

The guarantee applies to qualified patient enquiries — people who have downloaded your lead magnet, submitted an enquiry form, or sent a WhatsApp message to your clinic as a result of SmileFlow activity. It does not cover enquiries that existed before SmileFlow was engaged.

4. Payment terms

Setup fees are non-refundable once work has commenced. Monthly retainers are due on the first of each month. If payment is not received within 7 days of the due date, services may be paused until payment is received. SmileFlow accepts payment via UPI, bank transfer, and Razorpay.

5. City exclusivity

SmileFlow guarantees that no two directly competing dental clinics in the same city will be served simultaneously. "Same city" is defined as the same municipal area. "Directly competing" means offering the same primary dental services to the same geographic patient base.

This exclusivity begins on the date your setup fee is received and remains in effect for as long as your retainer is active. If you pause or cancel services, the exclusivity for your city is released after 30 days.

6. Intellectual property and content ownership

All lead magnets, content calendars, WhatsApp scripts, and marketing materials created by SmileFlow for your clinic are owned by your clinic upon full payment. SmileFlow retains the right to use anonymised performance data (not clinic names or identifiable information) for internal research and improvement purposes.

SmileFlow's brand, website, methodology, and proprietary systems remain the intellectual property of SmileFlow and may not be copied, reproduced, or resold.

7. Limitation of liability

SmileFlow guarantees qualified patient enquiries within 14 days as described above. Beyond this, SmileFlow does not guarantee specific patient numbers, revenue outcomes, or booking rates — these depend on factors including your clinic's conversion rate, receptionist responsiveness, and treatment pricing, which are outside SmileFlow's control.

SmileFlow's total liability for any claim arising from our services shall not exceed the total fees paid by you in the 3 months preceding the claim.

8. Termination

Either party may terminate the monthly retainer with 30 days written notice. Setup fees already paid are non-refundable. Upon termination, all content and materials created for your clinic remain your property. SmileFlow's exclusivity for your city is released 30 days after termination.

9. Governing law

These Terms are governed by the laws of India. Any dispute arising from these Terms shall be subject to the jurisdiction of the courts of Maharashtra, India.
